Additionally, the Inland
Revenue has indicated that in determining whether or not a particular
assignment falls inside or outside the rules it will consider:
· The specific wording and intent of the Contract
· The reality of the Contract
Should the services supplied
fail the tests then all monies attributable to that particular assignment
may be subject to full P.A.Y.E.
· Signing the visitor's book each day.
· Not having an employee site pass
· Not utilising an employee parking space
· Not attending employee social functions
· Not utilising the employee dining facilities
· Not getting involved in office politics
· Handing out your business card
· Providing advice on your Company's products and services
· Not working set hours or a given number of hours a week
or month
The Direct Salaried Employee
method deducts P.A.Y.E. and National Insurance contributions at
source. Although this is undoubtedly the simplest method, individuals
suffer anywhere up to a 20% shortfall in their net income in comparison
to remuneration through the limited company avenue.
The Director / Shareholder
method allows a proportion of remuneration to be received by means
of dividends payments thereby significantly reducing National Insurance
contributions. Additionally, business expenses can be offset against
earnings further increasing net disposable income. However, the
historical disadvantages of this method are:
· Set-up costs associated with purchasing a limited company
· Annual accountancy fees and other administrative charges
· Winding-up costs
· Legal Responsibility (e.g. V.A.T., P.A.Y.E., National Insurance,
Company Statutory Requirements e.g. Annual Returns, etc.)
Adventus has developed
a comprehensive structure that allows you to benefit from the financial
advantages and flexibility only normally available to shareholding
directors of a limited company. Furthermore, contractors can avoid
the usual contractual, administrative, and legal responsibilities
(there are, to date, 140 pieces of legislation regarding small-
and medium-sized enterprises) associated with limited company ownership
and ensures that you are protected against liability of non-compliance
("IR35 friendly") yet maximising the financial returns
available as a contractor.
Your affairs, through
a limited company set up and by Adventus, will be professionally
administered and could improve your net income by up to 20%. As
one of twenty or more Employee Shareholders, your services will
be offered under a "Contract for Services" to your Agency
or direct to the Client. Under your individual contract of employment
you will receive a salary, the exact amount of which will be agreed
between you and the Company. The Directors will issue dividends
to the shareholders.
All administrative, accounting,
banking, filing, compliance activity, and communications with the
Inland Revenue and Customs and Excise are undertaken by Adventus
and the advantages to you are:
· No start-up costs
· No winding-up costs
· No annual accountancy costs
· No annual administration fees
· No time taken up with administration
· No regulatory hassles (e.g. V.A.T., P.A.Y.E., National
Insurance, Company Statutory requirements)
The Directors of the
self-employed company will be responsible to the shareholders i.e.

Getting Started
When you decide to join
us, you will be required to sign a contract of employment and purchase
a share in the company. We shall then be able to provide your services
to Agencies / Clients.
We shall send all the
Corporate and Statutory information to your specific Agency / Client
as and when necessary.
The Directors of the
self-employed company, that you will be employed with, will sign
all contracts and Agreements with the Agency / Client for your services.
Additionally, all cheques issued for and on behalf of the self-employed
company will require at least two signatures of the Board of Directors.
All you will be required
to do is to send us a copy of your Client-signed timesheet and we
shall then raise and submit an appropriate invoice for your services
to the Agency / Client. Once we have received cleared funds as payment
for your invoice we shall then immediately process your payment
and arrange a transfer to your personal designated bank account.
Business Expenses
On the production of
valid receipts, any business related expenses can also be reclaimed.
We shall provide you with an expense claim pack detailing the typical
expenses allowable by the Inland Revenue and how to claim them.
Typical business expenses may include rent for office space, business-related
travel, stationery, postage, and certain larger "one-off"
purchases, all of which have been agreed with the Inland Revenue.
For other items, we shall assist you in defining whether they are
allowable or not.
Schedule of Charges
With no start-up or exit
costs, our only fee is:
· GBP 50 per month for employees with annual gross earnings
up to GBP 40 000 or
· 4% of each invoice raised for employees with annual gross
earnings over GBP
40 000.
· Employer's National Insurance contributions
· Plus 0.22% of each invoice raised to cover Employers and
Public Liability Insurance.
If you do not work, for whatever reason, you have nothing to pay.
We shall also charge a small administration fee (4% of each claim)
for all expense claims that we administer.
There are no other charges, and no hidden costs !
